第二章出租房屋

CHAPTER 2 LEASED PREMISES



4.1甲方同意出租给乙方,乙方同意向甲方租赁按本合同经双方同意的附件B“出租房屋图示”所确定的房屋。(附件B1:所有的面积表;B2:所有楼层的图纸中出租面积用粉红色标明;B3:按已批准的扩初设计制作的全套建筑图纸)。该出租房屋与扩初设计一致,其竣工后与竣工图一致,并且与本合同的条款一致。甲方得到施工图就向乙方提供。

4.1 Since Party A agrees to lease to Party B, and Party B accepts to lease from Party A the premises as specified in the Description of the Leased Premises set forth in the attached Appendix B (BI: Listing of all areas; B2: drawings of all floors with those areas which are subject to the lease hereunder coloured pink; B3: a Complete set of architectural drawings as per approved preliminary design)as agreed by both Parties to this Agreement, in accordance with the preliminary design and, after Completion of construction of such premises, in accordance with the drawings prepared upon such Completion (hereinafter Leased Premises), and in accordance with the terms and conditions of this Agreement. Shop drawings will be supplied to Party B by Party A when available.

4.2如果因为中国政府或建筑技术的要求与扩初设计的图示相比较,甲方对出租房屋的建筑和/或对最后竣工的出租房屋作了改变,只要这些变更不改变按本合同规定的出租房屋的用途,提供了相应的装修和设备,而且只要这类改变对实际的使用面积不作大的变化的话,双方同意这些更改。在这种情况下双方应继续受本合同的所有条款的约束,而且乙方同意不应对这些更改提出任何索赔或其他要求。

4.2 In case of any changes because of the Chinese government or construction technical requirement which will be made by Party A to the building of the Leased Premises and/or the Leased Premises in the final construction as compared to the description set forth in the preliminary design, the Parties agree to these changes to the extent that the use of the Leased Premises as set forth in this Agreement remains unchanged, comparable finishing and equipment are provided, and to the extent that such changes do not substantially change the actual net floor area; in which case the Parties shall continue to be bound by all the terms and conditions of this Agreement and Party B hereby undertakes not to bring any claims for compensation or otherwise in connection with such changes.

4.3出租房屋的建筑的内外装修应根据甲方和出租房屋建筑的承包商之间的施工协议的标准说明(附件C),由甲方自费设计和实施。乙方要求对附件C作出的任何改变应得到甲方的书面同意,由此而产生的任何费用由乙方承担。

4.3 The interior and the, exterior finishing of the building of the Leased Premises shall be designed and effected at Party A's expense in accordance with the Standard Description (as per construction agreement between Party A and the contractor of the building of the Leased Premises)attached hereto as Appendix C as agreed by both Parties. Any future changes to Appendix Crequested by Party B shall be subject to the written approval of Party A, and any cost and expense arising out of such request shall be borne by Party B.



5.1双方希望出租房屋所在的建筑的建造将以正常的建造速度进行,以便在                              日或者由甲方在缔结中心建筑合同后          个工作日内通知的其他日期竣工并交付使用。甲方应提前          个月以书面形式通知乙方出租房屋的租赁(以及第9条中规定的义务)应根据本合同的条款开始生效的日子(以下称为“开改日期”),但在开张日之前出租房屋应已由甲方从承包商手中接收过来“开张日期”不应比                              日或前面所说的甲方通知乙方的其他日期早于或晚于          个工作日。如果“开张日期”超过                              日或上述其他所定日期          个工作日,甲方应向乙方补偿由于这种逾期而引起的任何合理的实际费用。出租房屋在建筑物基本竣工时便应认为可交付使用。

5.1 The Parties expect that the construction of the building wherein the Leased Premises are located will under normal construction progress be completed and fit for occupation on           , 19          or such other date as shall be notified in writing by Party A to Party B within          working days of the conclusion of the construction contract for the Center. Party A shall notify Party B in writing           months in advance of the commencement date on which the lease of the Leased Premises hereunder (as well as the obligations as contained in Article 9)shall commence subject to the terms and conditions of this Agreement (hereinafter the Commencement Date), provided always that Party A shall have accepted the Leased Premises from the contractors thereof before the Commencement Date.The Commencement Date shall not be earlier or later than           ,19          or such other date as shall have been notified by Party A to Party B as aforesaid, by more than           working days. Subject always to Article 15, if the Commencement Date exceeds          , 19          or such other date as shall have been notified by Party A to Party B as aforesaid, by more than __ working days, Party A shall indemnify Party B against any reasonable actual expenses incurred as a result of the excess.The Leased Premises are deemed to be fit for occupation when the building therein is substantially completed.

5.2在“开张日期”的          天后,甲乙双方应签订一个移交议定书,确认出租房屋的正常移交,并指明哪些被发现的(如果有的话)应由甲方负责的缺陷。

5.2 Party A and Party B shall upon the expiry of days after the Commencement Date sign a hand--over protocol confirming the proper delivery of the Leased Premised for operation and confirming those defects found, if any , which are the responsibility of Party A.

5.3当出租房屋已适合于为本5.3条款规定的目的而进入时,乙方在“开张日期”之前的          个工作日之内为安排可移动设备或其他必要物件的安装事宜,有权进入出租房屋的任何部分,但条件是:(1)乙方事先向甲方送交一份认可书,确认全面接受乙方认为完好并满意的出租房屋的这一部分;该认可书对乙方应有约束力;(2)甲乙双方应对由他们各自的行为或疏忽或各自代理人,承包人或雇员的这类行为造成的所有损害或损失或人身伤害负完全责任。

5.3 When the Leased Premises are suitable for entry for the purposes specified in this Article 5.3, Party B shall have the right to enter upon any part of the Leased Premises during the           working days before the Commencement Date for the purposes of arranging installation of mobile equipment or other necessary items, provided that (1)Party B has delivered in advance to Party A a letter of confirmation confirming the full acceptance of such part of the Leased Premises which in Party B's opinion is sound and satisfactory which confirmation shall be binding upon Party B; and (2)Party B and Party A shall each assume full liability as to all or any damages or losses or any personal injuries caused by its own acts or omissions or those of its respective agents, contractors or employees.

第三章合同双方的责任

CHAPTER 3 RESPONSIBILITIES OF THE PARTIES

第6条甲方应负责:

6.1按以下规定,建造并完成出租房屋的建造:

6.1 The construction and completion of the Leased Premises set forth as follows:

          建造并完成出租房屋的建筑物的结构:

          The construction and Completion of the structure of the building of the Leased Premises;

          根据附件C中规定的标准说明书,安装内外装修和设备,包括一套预制的可进入式的两种温度的冷库。安装必要的给排水、煤气、电、供暖、空调、电绨、自动扶梯、自动灭火、电讯的设施,以及闭路电视和计算机系统的空管,建筑物的管理系统和有关办公室的必要安装。这类建筑和安装的所有费用和开支均由甲方承担。

          Installation of interior and exterior finishing and equipment as set forth in the Standard Description attached hereto as Appendix C, including one unit of prefabricated walk--in cooler and freezer and the necessary installations for water supply ,drainage, gas , electricity , heating , air conditioning, elevators,escalators, automatic firefighting and telecommunication, conduits for closed circuit television system and computer system, building management system and offices relating thereto;All costs and expenses for such construction and installation to be borne by Party A;

6.2提供乙方在安装出租房屋防盗系统时所产生的合理费用。条件是这种提供的费用只能根据乙方递交的这类开支的合法的发票支付,而且甲方这种支付总额不超过人民币          。乙方有权安装防盗系统,条件是这类安装不影响出租房屋的结构。

6.2 Contributing to the reasonable costs incurred by Party B in the installation of a burglar alarm system for the Leased Premises, provided that such contribution shall only be paid upon delivery of legally valid invoices by Party B in respect of such costs and further provided that the total contribution payable by Party A shall not be more than RMB          ; and Party B shall have the right to install the burglar alarm system provided that such installation does not affect the structure of the Leased Premises;

6.3根据附件C中的规定为出租房屋安装水、电、煤气、供暖和空调的设施及提供电讯设施。

6.3 The installation of facilities for water, electricity, gas, heating, air conditioning and the supply of communication facilities as specified in Appendix C for the Leased Premises;

6.4维修出租房屋的供暖和空调系统,电梯,自动扶梯,火警,防火系统的机械装置。甲方承担这类维修的费用,甲方具有自己实施这类维修工作的专有权力,亦有委托信誉良好的分包商进行这类维修的权力,无论以何种方式,因为这类维修而引起的所有费用和开支应由甲方承担。

6.4  Maintaining the mechanism of the heating and air conditioning system, the elevators, the escalators and the fire alarm and fire prevention systems of the Leased Premises. Party A shall bear the costs of such maintenance, and Party A shall have the exclusive right to carry out such maintenance itself or to entrust reputable subcontractors for such purpose ,and in either event Party A shall bear all costs and expenses incurred in respect of such maintenance;

6.5保持出租房屋建筑物和结构及首层的公用区域和出租房屋的地下室处于良好维修状态,允许乙方的顾客使用露天停车场。

6.5 Keeping in good repairs the structure and the building of the Leased Premises, as well as the public areas of the ground floor and basement of the Leased Premises, and allowing the use of open air public car parking spaces by the customers of Party B;

6.6向乙方收取租金、诚意抵押金及保证抵押金和根据本合同乙方应支付的其他费用。

6.6 Collecting from Party B rental fees, goodwill deposit,security deposit, and other sums of charges payable by Party B under this Agreement;

6.7保证不在建筑物内经营也不允许任何第三者经营与乙方性质相类似的商店。

6.7 Undertaking not to, and not permit any third Party to,operate within the building a store in the nature similar to that of the Party B;

6.8根据双方同意的条件,在乙方提出与租赁房屋相关的要求时提供其他帮助。

6.8 Providing other assistance to Party B upon its request in connection with the Leased Premises subject to terms and conditions to be agreed between the parties.

第7条乙方应负责:

Article 7Party B shall be responsible for:

7.1根据本合同履行其全部义务,包括按期向甲方缴纳诚意抵押金、保证抵押金和租金以及有关出租房屋的供热和空调的费用。同时直接向有关部门支付水、电、煤气费,如果不行,则仍应向甲方支付这类费用。

7.1 Fulfilling all its obligations under this Agreement including paying punctually to Party A the goodwill deposit, rental fees and expenses for heating and air conditioning in respect of the Leased Premises as well as paying directly to the relevant authorities expenses for water,electricity and gas if possible,failing which such expenses shall be paid to Party A for settlement;

7.2支付自己的垃圾清理费和其他有关费用以及其他中国政府可能征收的与出租房屋相关的公共服务费用(如有的话)。

7.2 Paying its own garbage disposal and other related costs,as well as paying other public service charges, if any, which the Chinese government may impose in respect of the Leased Premises;

7.3根据本合同的条款在租赁期内出租房屋应对公众开放,允许中外宾客作为顾客进入出租房屋,采用国际先进的服务方式,把出租房屋经营成为一个具备一流服务标准的购物中心。

7.3 Operating the Leased Premises which shall be opened to the public during the duration of the lease according to the terms and conditions of this Agreement including maintenance during daily usage; permitting local and foreign guests to enter as customers into the Leased Premises, adopting international and advanced service methods and operating the Leased Premises as a shopping center of first class service standards;

7.4布置安装各种可移动的设备和家具,所有由乙方购买的这类设备和家具应属于乙方所有,乙方应自费安排相应的保险。

7.4  Arranging for the installation of all types of mobile equipment and furniture; the ownership of all equipment and furniture thus purchased by Party B shall belong to Party B and proper insurance shall be arranged accordingly by Party B at its own expense

7.5保护出租房屋,包括建筑物和设备在良好维护和清洁的条件下正常运转,维护出租房屋的卫生条件,消除扰人的噪音,并修复由乙方的代理人、雇员、顾客、客人或供货者或承包商所造成的任何损坏。

7.5 Protecting the normal operation of the Leased Premises in good repair and clean and good condition, including the building and equipment, and maintaining the Leased Premises in sanitary and hygienic conditions, free from disturbing noises, and repairing any damage caused by any of Party B's agents, employees,customers, guests or suppliers or contractors

7.6未经与甲方建筑师商议后作出书面同意,不得在出租房屋外部的任何部分张贴、刻画或涂写任何记号,设置灯箱或刊登广告。但乙方的店名和店徽则无需征得事先的书面同意,不过他们的规格和安放位置应与出租房屋的建筑师协商。

7.6 Not to affix, inscribe or paint any sign, light box or advertising at any exterior part of the Leased Premises without the prior written approval of Party A in consultation with the architect, provided that such prior written approval shall not be required in respect of the name and logo of Party B but Party B shall act in consultation with the architect of the Leased Premises in this respect with regard to the size and location of such name and logo;

7.7不得以任何方式对出租房屋或建筑物的任何部分作拆移或毁坏或损坏。未经甲方的书面同意,不得对出租房屋作任何改变、增设或改进。到租赁结束时乙方应将出租房屋恢复至开张日期的原状。

7.7 Not to remove or destruct in any manner or damage any part to the Leased Premises or the building thereof, nor to make any alternations, additions or improvement of the Leased Premises without the prior written approval of Party A, and upon the termination of the lease hereunder, the Leased Premises shall have been restored by Party B to their status quo ante as at the Commencement Date;

7.8未经甲方事先的书面同意,不得把任何爆炸品和易燃或有毒的物品带人或存放在出租房屋里。

7.8 Not to bring into or store any explosives, inflammable or poisonous substances in the Leased 7. 9  Not to install in the Leased Premises any apparatus,machinery or equipment which may cause tremors or noises exceeding the limits contained in the relevant environmental protection regulations, or the load of which exceeds the load capacity for which the respective floors of the Leased Premises are designed , or expose the Leased Premises to fire or increase the fire hazard of the building thereof or change the insurance rate of such building or to install any other article which in Party A's opinion is hazardous or affects the safety of the Leased Premises;

7.9不得安装任何可能产生超过有关环保法规规定限制标准的震动或噪音,或超过与此出租房屋相关的设计荷载或使出租房屋易于招致火灾或增加建筑物失火的危险,或改变此建筑物保险率的仪器、机器或设备,或安装任何其他对出租房屋有危害或影响其安全的物品。

7.10  Not to use any gas of electric appliances the use of which exceeds the existing network;

7.10不得使用任何负荷超过现有管线的煤气和电器用具。

7. 11 Not to raise any objections in respect of, or interfere with the use, operation, management or leasing of any part of the building which is not part of Leased Premises under this Agreement

7.11不对建筑中的不属于本合同规定的出租房屋的其他任何部分的使用、经营、管理或出租,提出任何反对意见或干预。

7.12 Arranging and putting into operation fire prevention,safety, and security measures within the Leased Premises;

7.12在出租房屋内安排并实施防火和安全保卫措施。

7.13 Informing Party A immediately in case of fire, accidents of any other emergency situation in the building of the Leased Premises, or in case of any defect therein or in any fixtures or equipments thereof

7.13如出租房屋建筑物发生火灾事故或任何其他紧急情况,或在出租房屋,或其任何固定装置和设备发现有缺陷时,立即通知甲方。

7.14 Providing other assistance to Party A upon its request in connection with the Leased Premises subject to terms and conditions to be agreed between the Parties.

7.14遇到甲方提出与出租房屋相关的请求,按双方同意的条件提供帮助。

CHAPTER 4 DURATION OF THE LEAES,RENTAL FFE,  GOODWILL DEPOSIT,  SECURITY

第四章租赁期限、租金、押金和其他服务费用

DEPOSITAND OTHER SERVICE FEES



8.1租赁期从“开张日期”起算为          年。经双方协商达成书面协议,则租赁期限可以延长。希望延长租赁期限的任何一方必须以书面形式通知另一方其希望延长期限的意向。

8. 1The duration of the lease hereunder shall be________years starting from the Commencement Date. The duration of the lease may be extended upon written agreement reached by both parties. Any party who wishes to extend the duration of the lease must notify the other party in writing of its intention of extension

8.2开张日期          年后,一方在接到另一方提前一个月的书面通知时,双方同意对本合同的条款和执行情况以及租赁情况作出评价和讨论。但是未经双方书面同意,不得对合同修改;没有作出这类修改时,本合同仍对双方有约束力。

8.2 After the expiration of________years from the Commencement Date, upon the receipt by one party of one (1)month's written notice given by the other party, both parties agree to assess and discuss the terms and the operation of this Agreement and the lease hereunder, provided always that no amendments shall be made to this Agreement (which shall remain binding on both parties in the absence of any such amendment)without the written agreement of both Parties.



9.1出租房屋的租金总金额共为          

9. 1 The rental fee for the Leased Premises shall be the total of          

租金按月支付。每个历月的租金乙方应在该月的15日付给甲方。(如果该日为星期日或国家规定的假日,则在以后最近的一个银行日支付)。开张日期所在月有关部分的租金应推迟并放下个月的租金中一并支付。

The rental fee shall be paid monthly The rental fee for each and every calendar month shall be paid by Party B to Party A on the 15th day (or if it is a Sunday or a national holiday, the next nearest banking day)of such month, provided that the payment of the rental fee for the relevant part of the month in which the Commencement Date falls shall be postponed and added to the payment of the rental fee for the following postponed and added to the payment of the rental fee for the following month.

乙方支付给甲方的租金应根据租金支付日国家外汇管理局公布的人民币与外币的兑换率以人民币外汇兑换券的形式支付。根据9.3条和9.4条规定支付的诚意抵押金和保证抵押金的支付也以相同的方法计算和支付。

Any rental fee payable by Party B hereunder shall be paid to Party A in the form of foreign exchange certificates in accordance with the exchange rate promulgated by the State Administration of Exchange Control for the Foreign Currency on the date on which the rental fee is due; and the payments of the goodwill deposit and the security deposit payable under Articles 9.3 and 9.4 shall also be calculated and made accordingly.

9.2合同中的租金应按附件D中规定的比率调整和增加。

9.2The rental fees hereunder shall be regulated and increased at rates as specified in Appendix D.

9.3另外,乙方应向甲方支付总额为          个月租金的诚意抵押金,该笔抵押金按年份期支付,第一笔于开张日期前          个月时支付,以后每          个月支付一笔。这笔诚意抵押金在本合同租赁期终止或解除时甲方应退还给乙方。

9.3 Further, Party B shall pay to Party A goodwill deposit in a sum amounting to the total rental fees for          months,payable in equal annual installments the first of which shall be paid on the date          months prior to the Commencement Date,with the remaining installments payable thereafter at          months intervals. Such goodwill deposit shall be returned by Party A to Party B upon expiration or termination of the lease hereunder.

9.4另外,乙方还应付给甲方总额为          个月租金的保证抵押金。按          年分期支付,第一笔于开张日前          个月支付,以后每          个月支付一笔。保证抵押金在整个租赁期保持不动,乙方不得将该押金用作月租金或作扣除。本合同的租赁期终止或解除时保证抵押金应由甲方退还给乙方,如根据本合同乙方因其在本合同中的义务对甲方有债务时,可从中扣除实际欠款额。

9.4 In addition, Party B shall also pay to Party A a security deposit in a sum amounting to the total rental fees for           months, payable in equal annual installments the first of which shall be paid on the date          months prior to the Commencement Date, with the remaining installments payable thereafter at          months intervals. This security deposit shall remain intact for the duration of the lease and no monthly rental fees shall be charged by Party B against it or discounted by Party B. The security or termination of the lease hereunder, after deducting the total amounts of money which shall then be owing to Party A by Party B in respect of any of its obligations under this Agreement.

9.5所有根据本合同应支付的款项均由乙方直接转账付给甲方告知的甲方在北京的开户银行。

9.5 All payments due under this Agreement shall be by direct bank transfer by Party B into Party A's account with a bank in Beijing as advised by Party A.

除租金、诚意抵押金和保证抵押金外,乙方根据本合同负责向甲方支付或偿还的款项或费用应以甲方作这类支付或花费时所用的相应币种支付。

With the exception of rental fee, goodwill deposit and security deposit, payments or expenses for which Party B is liable to pay to or reimburse Party A pursuant to this Agreement shall be paid in the relevant currency in which Party A incur such payments or expenses.

甲方得知乙方违反了本合同的规定或未尽到本合同或本合同的一部分中所规定的义务时,仍接受乙方缴纳的租金或其他付款不可认为是放弃了对这种违约追究的权利。

The receipt by Party A if any rental fees or other payments from Party B with knowledge of violation or non--fulfillment of any of Party B's obligations under this Agreement or part thereof,shall not be deemed a waiver of such breach.

9.6根据这个第9条或本合同规定所有应由乙方付给甲方的款项应如数支付,不应有任何性质的扣除。

9.6 All payments made by Party B of sums due to Party A under this Article 9 or this Agreement shall be made free and clear or any deductions of whatever nature.

9.7双方各自承担各自的税务。

9.7 Each party shall itself be responsible for the payment of its own tax.



10.1第7.1条中所规定的供暖和空调费用将由甲方向乙方按成本价格收取,方式为购统一入价+损耗率+劳务费+其他费用。

10. 1 Expenses for heating and air conditioning referred to in Article 7.1 (1)shall be charged by Party A to Party B at a cost price to be identical to the purchase price plus wear and tear rate plus supply labour expenses plus other expenses.

10.2第7.1条中提及的每个月发生的费用,由乙方在下个月的          个工作日内向甲方支付。

10.2 Expenses referred to in Article 7.1 (1)incurred in each month shall be payable by Party B to Party A within business days of the following month.

10.3双方同意,如果因为对任何装置或仪器进行必要的修理和维护。而影响到在第10条中前面提到的任何服务时(应事先通知乙方)或如果因为火灾、水灾或其他不可抗力,甲方无法控制的原因或其他险恶条件或由于甲方无法控制的不可避免的燃料、材料、水、气、电、劳动力的短缺,(应尽快通知乙方)或任何因乙方的任何顾客、服务员、门卫或其他服务人员的行为,失职或疏忽大意而引起的损坏或毁坏,甲方不对乙方负有任何责任;乙方亦不应追究甲方的责任。

10. 3  The parties hereby agree that Party A shall not be liable to Party B nor shall Party B have any claim against Party A in respect of any of the services hereinbefore mentioned in this Article 10 being affected by reason of the necessary repair and maintenance of any installations or apparatus (in respect of which advanced notice has been given by Party A to Party B)or damage thereto or destruction thereof by fire, water, Act of God or other cause beyond Party A's control or other inclement conditions or unavoidable shortage (beyond Party A's control)of fuel, material,water, gas, electricity, or labour (in respect of which notice shall be given by Party A to Party B at the first possible opportunity);or any act, omission or negligence of any customers, attendants,watchmen or other servants of Party B.

第五章使用、转租、权利转移

CHAPTER 5  USE,  SUB--LEASE,TRANRFER OF RIGHTS



11.1除综合经营商场和批发部外,乙方不能把出租房屋用作其他任何目的,未经甲方事先的书面许可,乙方不得把出租房屋的部分或全部转为或改变他用,双方明确同意在租赁期间如果未经甲方的事先书面许可,出租房屋被全部或部分地作为他用,甲方有权立即提高租金或迫使乙方终止这类未经授权的使用。同时乙方应赔偿甲方因这类未经授权的使用而遭受的任何损失和损害。

11.1 Party B shall not use the Leased Premises for any other purpose except as Comprehensive department stores and wholesale offices, and Party B shall not divert or change partly or wholly the Leased Premises to other uses without prior written consent of Party A, it being expressly agreed that if, at any time during the existence of this lease and without the previous written consent of Party A, the Leased Premises are used wholly or partly for other purposes, Party A has the immediate right to either increase the rent, or Compel Party B to stop such unauthorized uses. Party B shall also indemnify Party A against any loss or damage which Party A suffers as a result of any such unauthorized uses.

11.2未经甲方事先书面同意,乙方不得把出租房屋任何部分转让或分租给任何第三者。甲方有权作出提高租金为条件的同意的决定,提高租金;提高的数额至少为已定租金与第三者因这种转让,分租或占用,支付给乙方数额之间差额的          %,如果甲方同意这种行为,乙方应承担第三方一切行动或未采取行动的责任,无论是否为乙方自己的过失或疏忽。

11.2 Party B shall not assign or sublet to any third party the Leased Premises or any part thereof without the prior written consent of Party A. Any such consent of Party A may, at Party A's full discretion, be conditional upon an increase of the rental fee in an amount at least equal to fifty percent (          %)of the difference between the rental fee hereunder and the total amount (rent, commission or otherwise)payable by such third Party to Party B for any assignment, subletting or possession. If such consent is granted by Party A, Party B shall be fully liable for all acts or omissions such third Party regardless of Party B's own fault or negligence.

11.3如果乙方违反11.2款的规定,甲方有权要求乙方立即尽早结束并弥补这类违约,但无论怎样时间不应晚于提出要求后一个月。

11.3 In case of any breach of Article 11.2 by Party B, Party A has the right to request Party B to terminate and remedy immediately such breach at the earliest possible date, but in any event not later than one (1)month from the date of the request.

11.4 未经另一方的书面许可,任何一方都不得将本合同的权利或义务的全部或部分让与或抵押转让给第三方。

11.4 Neither Party shall assign or otherwise transfer mortgage or pledge all or any part of its rights or obligations under this Agreement to a third Party without the prior written consent of the other Party.

第六章日常管理

CHAPTER 6  DAILY MANAGEMENT

第12条通知乙方后,甲方,甲方的代表或其授权的代理人,雇员或承包商应有权随时进入出租房屋(紧急情况除外,此时无需通知乙方)对其进行检查和/或改动或修理,或如甲方认为对出租房屋的建筑物或设备或装置的运行和维修有必要的事情,并且,在租赁期的最后6个月中允许将来的承租者进入出租房屋观看。对以上所提行为,乙方应有权派遣其雇员与甲方合作进行。

Article 12Party A, its representatives or its authorized agents, employees or contractors shall have the right to enter the Leased Premises at any time, upon notice given to Party B with the exception of emergency situations in which case no notice shall be required to examine the same and/or to make alternations or repairs, or for any purpose which Party A shall deem necessary for the operation or maintenance of the building of the Leased Premises or any equipment or installation therein and, during the last six (6)months of the term of the lease, to admit prospective lessees to the Leased Premises for the purpose of viewing, and Party B shall have the right to send its employees to provide cooperation to Party A for the actions mentioned above.

第七章合同的修改

CHAPTER 7 AMENDMENT TO THE AGREEMENT

第13条对本合同的任何修改需经双方同意,并以书面形式作出并经有关部门批准,否则无效。

Article 13No amendments to this Agreement shall be valid unless agreed upon by both parties and made in writing and approved by the relevant authorities.

第八章合同违约、中止

CHAPTER 8  BREACH OF AGREEMENT, TERMINATION



14.1双方受本合同明确规定的专门条款的约束,如果任何于方违反了本合同的任何条款,并且不能完全恰当地履行或部分地履行其按合同规定的义务,另一方有权利用挂号信通知对方已违约。除非违约方在二周内采取满意的补救措施。否则要求补救的另一方应有权对其损失和损害要求索赔。

14.1  Subject to special provisions explicitly of this Agreement thereunder, the other party shall be entitled to notify the party in default by registered letter, Unless satisfactory remedial measures are take within a period of two (2)weeks, the party demanding remedy shall be entitled to claim compensation for losses and damages.

14,2根据本合同,应由任何一方支付的任何款项到期未付时,该方应承担从应付日至结清日全部迟误付款额1%的月息。如果这笔款项超过三个月仍未支付,则未清款额的月息应增至1.5%。

14.2  Any sum payable under this Agreement but unpaid when due by either party shall pay interest for delay of payment at the rate of one percent (IX)per month from the due date until the date of full payment, provided that if such sum is unpaid for longer than three (3)months, then the interest rate on the outstanding sum shall be increased to one point five percent (1.5%)per month.

14.3甲方或其代理人,代表或雇员,对乙方的财产或其他人的已委托给乙方或其雇员或代理人的财产的损坏不负责任;也不对因中心的房客或第三者造成的在中心的经营或建筑期间所引起的任何损坏或人员伤害负有责任。除非,这类的损害或人员伤害是由于甲方的过失,疏忽或其他甲方可控制的有意行为所致。

14.3 Party A,or its agent,representatives or employees shall not be liable for any damage to property of Party B or of any damage or personal injury caused by other tenants or third parties in the Center, unless such damage or personal injury is caused because of the default or neglect or other wilful action which is under the control of Party A.

第15条双方受本合同明确规定的专门条款的约束,如果任何一方因为不可抗力的力量如地震、风暴、洪水、火灾或其他自然灾害、瘟疫、战争、暴乱、敌对行动、公共骚乱、公共敌人的行为、政府或公共机关的禁止、劳资纠纷或其他双方无法控制、不可预见的事件,这些事件的发生为不可预防和避免,而无法履行本合同规定的义务时,受妨碍的一方如果可能的话,应在这类不可抗力事件发生后的8天内书面通知另一方,并应在15天之内,提供事件的详细情况和由有关部门签署的证明及一份解释不能履行其按本合同规定应履行的全部或部分义务的说明书。如果发生了不可抗力的事件,任何一方均不对另一方因不能履约或延误履约而遭受的任何损害,成本增加或损失负责。声称遇到不可抗力事件的一方应采取适当的措施以减少或消除不可抗力事件的影响,并在最短的时间内努力重新履行不可抗力事件而受影响的义务。

Article 15Subject to special provisions explicitly provided for in this Agreement, if either party has been prevented from performing its obligations under the Agreement because of an event of force majeure such as earthquake, storm, flood, fire, other acts nature,epidemic, War riot, hostility, public disturbance, acts of public enemies, prohibition or acts by a government or public agency or labour disputes, or other unforeseeable events beyond the control of the parties, and their occurrence is unpreventable and unavoidable,the party so prevented shall notify the other party in writing within eight (8)days after the occurrence of such event of force majeure, act to mitigate damages, if possible, and within fifteen (15)days thereafter provide detailed information of the event, a certificate of evidence there of issued by the relevant authorities and a statement explaining the Agreement. If any event of force majeure occurs,neither party shall be responsible for any damage, increase costs or loss which the other party may sustain by reason of such failure or delay of performance. The party claiming force majeure shall take appropriate measures to minimize or remove the effect of force majeure and, within the shortest possible time, attempt to resume performance of the obligation affected by the event of force majeure.

通过协商,双方应根据不可抗力对合同履行的影响程序,决定是否修改或中止本合同。

Both parties shall, through consultations, decide whether to modify or terminate the Agreement according to the effects to of the event of force majeure on the performance of the Agreement.

第16条出现如下情况时,本合同可在其期满前以下列方式中止:

Article 16If one of the following events occurs, this Agreement may be terminated prior to its expiration in the manner set out below: --

(1)如果乙方逾期不支付租金,诚意抵押金或保证抵押金,甲方除有权要求索赔外,有权中止本合同。

(1)If Party B does not pay any rental fees, goodwill deposit or security deposit when due, Party A shall have the right to, in addition to the right to claim compensation, terminate this Agreement forthwith

(2)如果一方被申请执行或要对其采取执行破产或其他类似程序或行动时,另一方可以立即中止本合同。

(2)If a petition is filed or if any action is taken for the institution of bankruptcy or other similar proceedings or actions against one party, the other party may terminate the Agreement forthwith

(3)如果出租房屋遭到毁坏或严重损坏以致其使用受到严重损害时,如果甲方没有在合理的时间内对其进行修理或更换,乙方可以提前两周通知甲方中止此合同。 

(3)If the Leased Premises are destroyed or heavily damaged in such a way that the use of the Leased Premises is severely impaired, Party B may terminate this Agreement with two (2)weeks notice if party A does not set about repairing or replacing the Leased Premises within a reasonable period of time;

(4)遇到第15条中规定的不可抗力事件时,合同可以按该规定中止。

(4)In case of an event of force majeure as defined in article 15, the Agreement can be terminated as set forth therein.

双方在此同意,除第16条中规定的中止原因外,任何一方不可中止本合同。

The parties hereby agree that the agreement may not be terminated by either party except for the causes of termination stated in this Article 16.

第17条在本合同到期或提前中止时,乙方应在期满或中止时无需得到通知和要求并不无理拖延就把其所有物搬出出租房屋,把出租房屋交还给甲方,包括所有的固定装置和设备。这些装置和设备应和租赁开始时一样的良好,自然磨损和自然损坏除外。在本合同期满或提前中止时,由于乙方无理拖延未能按时把出租房屋的占有权交还甲方,乙方应赔偿甲方因无理拖延而受到的一切损失、损害和费用,包括甲方因任何后继租客、或任何其他第三者由此而提出索赔而受到的一切损失或损害。

Article 17Upon expiration or early termination of this Agreement, Party B shall, without undue delay and without any notice or demand being required, remove all its belongings out of the Leased Premises upon such termination or expiration and return the Leased Premises, including all fixtures and equipment to Party A in as good conditions as they were actually found at the beginning of the lease, ordinary wear and tear excepted, Party B shall indeminify Party A against all loss, damage and cost which Party A suffers, as a result of any undue delay of Party B in delivering punctually possession of the Leased Premises upon expiration or early termination of this Agreement ,including loss or damage suffered by Party A as a result of claims from any succeeding tenant or any other third party.

第18条在中国法律允许和有关部门同意的范围内,如果任何一方认为为了双方的利益应共同经营乙方商店(有或没有第三者加入)或为进一步合作做出安排的话,该方与另一方应就此事宜进行讨论;除非双方以书面作出,否则双方达成的任何协议无效。

Article 18To the extent permitted by Chinese law and the relevant authorities, should either party consider that it is in the interest of both parties to have joint operation of the Party B's store (with or without third party participants)or to enter into arrangements for further cooperation, such party and the other party shall enter into discussions on such matters provided always that no agreement between the parties in this regard shall be valid unless made in writing.

第九章语言、法律和仲裁

CHAPTER 9 LANGUAGE,LAW AND ARBITRATION

第19条本合同由中、英文写成,两种语言具有同等效力。

Article 19This Agreement is executed in English and Chinese and both language versions shall be equally valid.

第20条本合同的制定,其合法性和解释及在执行合同的过程中出现的或与本合同相关的争议的解决,应受中华人民共和国颁布的法律的约束。

Article 20The formation, validity and interpretation of this Agreement and the settlement of any disputes arising from the execution of, or in connection with this Agreement shall be governed by the promulgated laws of the People's Republic of China.



21.1在执行本合同的过程中,如出现争议或发生与本合同有关的争议,双方首先应尽量通过友好协商解决,如通过友好协商不能解决,则任何一方都有权把争议提交中国北京国际经济贸易仲裁委员会根据该委员会规则进行仲裁。作出的任何裁决都是终审裁决,对双方具有约束力。仲裁费用应由败诉方承担。

21.1 In case of any dispute arising from the execution of or in connection with this Agreement, the parties shall first try to solve such dispute through friendly consultation. If a dispute cannot be solved through f, riendly consultation, either party has the right to refer the dispute to the International Economic and Trade Arbitration Commission in Beijing, China for arbitration in accordance with the rules of the said Commission. Any arbitration fees shall be borne by the losing party.

21.2 在仲裁过程中,除有争议的事情外,本合同应继续执行。

21.2  During the arbitration process, this Agreement shall continue to be performed except for the matters under dispute.

第十章合同的生效

CHAPTER 10 EFFECTIVENESS OF THE AGREEMENT

第22条如下述两项条件都得到满足后,则合同应生效:

Article 22This Agreement shall become effective when both of the following two conditions have been fulfilled.

——双方在本合同上签字:

-- Signing of this Agreement by both parties;

——本合同经有关上级部门批准。

-- Approval of this Agreement by the relevant supervising authorities.

第十一章其他

CHAPTER 11 MISCELLANEOUS

第23条如下附件为本合同的一部分:
